Indemnification by the Investor


The Investor shall indemnify, defend, and hold harmless GONEN FUNDS, its affiliates, directors, officers, employees, agents, and representatives (collectively, the “Indemnified Parties”) from and against any and all liabilities, losses, damages, claims, costs, and expenses (including, without limitation, reasonable attorneys’ fees and costs of investigation) (collectively, “Losses”) resulting from or arising out of:

  • Breach of Representations: Any breach or inaccuracy of any of the representations and warranties made by the Investor in the Investor Representations and Warranties section of this Agreement (specifically including the representation of Accredited/Accelerated Investor Status).
  • Breach of Covenants: Any breach of any covenants or agreements made by the Investor in this Agreement or related documents.
  • Transfer Violation: Any sale, assignment, or transfer of the securities by the Investor in violation of applicable securities laws or the terms of this Agreement.
